Terms of Service
1. Agreement
These Terms of Service ("Terms") are a legally binding agreement between you and GRIDPEERS INC. ("Gridpeers", "we", "us", or "our"), a corporation incorporated under the laws of the Province of Nova Scotia, Canada, with registered address at 87 Millbrook Avenue, Unit 101, Cole Harbour, NS B2V 0A1. They govern access to and use of the Gridpeers websites, applications, and related services (collectively, the "Platform" or "Services").
By creating an account, clicking to accept these Terms, completing a purchase, or otherwise accessing or using the Platform, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Platform.
If you use the Platform on behalf of a company, institution, or other organization, you represent that you have authority to bind that organization, and "you" includes that organization. The organization is responsible for activity conducted through its authorized accounts and administrators to the extent permitted by applicable law.
Organization profiles and administrators. If you create or administer an organization (company or institution) profile or related administrative settings, you represent that you are authorized to act for that organization. You are responsible for actions taken using your administrative privileges. We may add, remove, restrict, transfer, or reassign administrative control where reasonably necessary to address authorization, ownership or control questions, security, legal, or platform-integrity issues. We are not required to adjudicate internal employment, ownership, shareholder, governance, or similar disputes between competing claimants.
2. Eligibility
You must be at least 18 years of age, and at least the age of majority (or otherwise legally capable of entering binding contracts) in your jurisdiction if that age is higher than 18. The Platform is intended for professional and business use in the electric power and related industrial sectors. It is not directed to children.
You may not use the Platform if you are barred from doing so under applicable law, including sanctions or export-control rules, or if we have previously suspended or terminated your access for cause.
3. The Platform
Gridpeers is an informational and professional networking Platform for the electric power industry and related fields. Depending on your account type, tier, and feature availability at the time of use, the Platform may allow you to create a profile; publish posts and other content (including requests, insights, updates, and questions); list solutions, products, services, trainings, or similar offerings; participate in teams and forums; send direct messages; discover tags and profiles; view analytics where offered; and use other features we make available.
Exact features, limits, eligibility, pricing, and availability are described in the applicable product interface, pricing page, or checkout flow and may change over time. We do not guarantee that any particular feature will remain available permanently. Where we offer licensed Gridpeers External API access, authorized machine clients may retrieve public profile and content metadata under the access terms shown for that licence. That access does not expand Gridpeers' rights to use non-public content beyond these Terms and the Privacy Policy, and it does not grant third parties an AI-training licence to User Content.
We may add, modify, reorganize, limit, suspend, or discontinue features, free functionality, paid functionality, plans, or portions of the Platform prospectively, with or without notice, except where applicable law requires otherwise. Pricing changes for recurring subscriptions apply prospectively and do not retroactively change amounts already paid for a completed billing period, except as required by law.
The Platform is provided on an "as available" basis. We do not promise uninterrupted, error-free, or continuous availability, and we do not offer a service-level agreement under these Terms.
4. Accounts and security
You are responsible for providing accurate registration information, maintaining the confidentiality of your credentials, and for activity under your account to the extent permitted by applicable law. Notify us promptly if you suspect unauthorized use.
You may cancel a paid subscription or request account deactivation or deletion through the account settings and related flows we make available, subject to these Terms, our Privacy Policy, and any retention required by law or legitimate operational needs (including backups, legal holds, and content already shared with others). Deletion may not remove content from every system instantly, and some records may be retained as described in the Privacy Policy.
5. Acceptable use
You agree not to, and not to attempt to:
- Violate applicable law, including sanctions, export controls, privacy, or IP laws.
- Post or transmit unlawful, fraudulent, defamatory, harassing, hateful, threatening, or otherwise abusive content, or engage in stalking or unwanted contact.
- Impersonate any person or entity or misrepresent your affiliation or credentials.
- Make false or misleading claims about products, services, pricing, qualifications, availability, or results in listings, Solutions, promotions, advertisements, tags, or other User Content.
- Infringe intellectual-property, privacy, publicity, confidentiality, or other rights of others.
- Upload malware, interfere with Platform security or integrity, probe or attack systems, or bypass technical protections.
- Spam, scrape, harvest data, or use automated means to access the Platform in a manner that overloads, manipulates rankings, or circumvents limits, except as we expressly permit (for example, documented APIs when available).
- Falsify or conceal your location to bypass geo-blocking, sanctions controls, or other access restrictions, or use the Platform where doing so would violate law.
- Misuse technical, operational, or safety-related information on the Platform as instructions for industrial systems without independent professional verification.
- Misuse Gridpeers infrastructure, paid features, promotions, or reporting tools.
- Sell, rent, transfer, share, or provide another person access to your personal account or authentication credentials, except through Platform functionality specifically designed for authorized organizational access or administration.
For routine abuse (such as spam or harassment), use the in-app Report controls where available. For copyright notices, formal privacy requests, or notices of allegedly illegal content, use our legal intake form or contact legal@gridpeers.com. These channels serve different purposes and are not interchangeable.
6. Moderation, suspension, and termination
We may, but are not contractually obligated to, review, monitor, restrict, demote, remove, preserve, disclose, or disable access to content or accounts where we consider it appropriate for legal compliance, security, fraud prevention, abuse, intellectual-property complaints, platform integrity, sanctions or export controls, investigations, or other legitimate operational reasons. Content remaining on the Platform does not mean we have verified, endorsed, or approved it. To the maximum extent permitted by applicable law, we do not promise continuous monitoring, investigation of every report, fixed response times, or that reported material will be removed. Mandatory duties under applicable law (including where we offer the Platform to users in the EEA or UK) remain unaffected.
Content moderation may involve automated tools and human review, depending on the type of content, report, and enforcement action.
We may suspend, restrict, or terminate access to accounts, features, or paid benefits immediately where we consider it necessary for the reasons above, for nonpayment or payment disputes, for Terms violations, or as required by law. Where we provide an in-product moderation notice or appeal path for a particular action, that path is described in the product interface and may change; we do not promise that every enforcement action will include a warning, notice, or appeal, fixed timelines, or any particular outcome. Suspension or termination for your breach does not create a refund entitlement except where required by applicable law.
Authorized Gridpeers personnel may access otherwise private areas of the Platform (such as private team spaces or direct messages) when reasonably necessary for abuse investigation, legal compliance, security, sanctions or export review, support, or platform integrity, and may keep records of such access as described in our internal processes and Privacy Policy. Moderators and other roles may have more limited access than administrators. This disclosure does not create a duty to access or review private content.
7. User content
7.1 Ownership
As between you and Gridpeers, you retain ownership of content you submit to the Platform ("User Content"), subject to the licence below and any rights of other parties.
7.2 Limited licence to Gridpeers
You grant Gridpeers and our necessary service providers a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, technically format or modify for display, transmit, distribute, and display your User Content solely as reasonably necessary to operate, provide, maintain, secure, and improve the Platform; to display and distribute content according to the visibility and sharing choices you make (and features you use); and to comply with law. This licence does not transfer ownership to Gridpeers and does not authorize us to sell your User Content or to use it for unrelated commercial purposes outside operating the Platform. It does not grant an AI-training licence beyond processing that is necessary to provide AI-assisted features we offer and that is described in the Privacy Policy.
7.3 Visibility
Some content you publish as public is broadly discoverable to members and, when we enable a public browse experience, to visitors without an account (for example Field Feed and Solutions catalog pages and eligible public posts, offerings, profiles, and tags). Other content may be limited to team members, forum members, message participants, or other restricted audiences. You are responsible for choosing appropriate visibility and for not posting passwords, access credentials, trade secrets, confidential business information, or personal information you are not authorized to share. If you choose to post such information, other users who can see it may copy, use, or further disclose it according to the visibility you selected, and Gridpeers is not responsible for that user conduct.
Where we offer anonymous posting, anonymity means other members generally do not see your identity on that post. Anonymous posting does not make you anonymous to Gridpeers. We retain the association between the content and your account and may access or disclose that information where reasonably necessary to operate or secure the Platform, investigate abuse, comply with applicable law or valid legal process, enforce these Terms, or protect legal rights, as described in the Privacy Policy.
7.4 Your responsibilities
You represent that you have all rights necessary to submit User Content and to grant the licence above. You are solely responsible for the legality, accuracy, and appropriateness of your User Content and for your interactions and transactions with other users. We do not become responsible for verifying your content merely because the Platform permits posting.
Third-party names, trademarks, product names, and similar designations that appear in tags, listings, profiles, or other User Content remain the property of their respective owners. Their presence on the Platform does not mean Gridpeers is affiliated with, sponsored by, or endorsed by those owners, and does not grant you any rights in those marks.
8. Copyright and intellectual property
If you believe content on the Platform infringes your copyright, submit a notice through our copyright report form or email legal@gridpeers.com. Notices should include the information required by applicable law. Our copyright report form is designed to collect a substantially compliant U.S. DMCA notice (including identification of the work and material, contact details with mailing address and telephone, the good-faith unauthorized-use statement, the accuracy/authority statement under penalty of perjury, and an electronic signature). Where the law requires, we may share notice or counter-notice contents with the other party to the dispute.
U.S. Copyright Office designated agent (registration DMCA-1080895; effective 2026-09-28): Copyright Agent, GRIDPEERS INC.; 87 Millbrook Ave, Unit 101, Cole Harbour, B2V 0A1, Canada; phone 9022104882; email legal@gridpeers.com. Alternate names on the registration: Gridpeers; gridpeers.ca; gridpeers.com.
If material was removed following a copyright notice and you believe removal was in error, you may submit a counter-notice to legal@gridpeers.com with the information required by applicable law. Where Gridpeers removes material under the U.S. DMCA safe-harbor counter-notification process and receives a substantially compliant counter-notice, Gridpeers will follow the statutory process, including notifying the original complainant and restoring access in accordance with applicable law (including statutory timeframes where they apply) unless the complainant gives notice of a court action seeking to restrain the alleged infringement. Separately, where Gridpeers removes or restricts material under these Terms or for other non-DMCA reasons, restoration is discretionary and we do not promise restoration or fixed timelines beyond what applicable law requires.
We maintain a policy providing for termination, in appropriate circumstances, of users who are repeat copyright infringers. That policy is applied through our moderation and legal processes. We do not promise automated strike counting or a fixed numerical threshold.
Knowingly misrepresenting that material is infringing, or that material was removed by mistake, may expose you to liability under applicable law.
The Gridpeers name, branding, and Platform software and design are owned by Gridpeers or its licensors. These Terms do not grant you any rights to use our trademarks except as needed to identify your use of the Platform in a truthful manner.
9. Professional networking; no professional or industrial advice
Gridpeers is an informational and professional networking Platform. Except where we expressly sell our own paid Platform subscription or related Gridpeers product, we are not a party to agreements between users, vendors, employers, contractors, institutions, or other third parties. Gridpeers does not process, guarantee, hold in escrow, or settle payments between users for Solutions, listings, opportunities, services, or other user-to-user dealings.
We are not an engineering consultant, professional advisor, regulatory or safety authority, compliance authority, or operator or controller of industrial systems. We do not guarantee the accuracy, completeness, licensing, competence, reliability, or performance of users, organizations, listings, products, trainings, services, opportunities, or other information on the Platform. Listings, Solutions, promotions, advertisements, tags, and similar User Content are provided by users; their presence or paid placement on the Platform does not mean Gridpeers has verified, endorsed, or approved them.
User Content, discussions, Requests, Questions, Insights, Solutions information, AI-assisted or AI-generated material, and other Platform information must not be treated as a substitute for independent professional engineering, safety, operational, legal, regulatory, or compliance judgment. Do not rely on Platform content as instructions for mission-critical or industrial-system decisions. You remain responsible for independently verifying information before acting. We do not undertake a duty to review technical content for accuracy merely because it appears on the Platform.
You must perform your own due diligence regarding other users and opportunities. We do not guarantee identity, qualifications, payment by another user, contractual performance, jobs, RFQ or RFP outcomes, leads, sales, or other commercial results, and we do not undertake to mediate private commercial disputes between users.
10. Artificial intelligence
Where AI-assisted features are offered (including system processing that classifies, tags, summarizes, or otherwise assists with content), outputs may be inaccurate, incomplete, or inappropriate. AI outputs are informational only. You must independently verify them. We do not warrant AI accuracy and do not imply human review of AI outputs unless we expressly state that review occurred. We do not undertake a duty to monitor or validate all AI output. Related data processing is described in the Privacy Policy.
11. Privacy and analytics
Our Privacy Policy explains how we process personal information. Nothing in these Terms waives mandatory privacy rights under applicable law. These Terms and the Privacy Policy should be read together; where both apply to Platform use, these Terms control contractual Platform terms to the extent permitted by law, and mandatory privacy rights remain unaffected.
Depending on account type, tier, feature availability, configuration, and applicable privacy rules, we may provide analytics, engagement data, profile or listing insights, visitor-related analytics (including, where offered, information about logged-in members who viewed your content or profile), exports, and similar functionality. Details of what is shown, for how long, and under what conditions are described in the product interface and Privacy Policy and may change. Guest or logged-out browsing is generally treated differently from logged-in viewing where named-viewer features apply.
12. Geographic access, sanctions, and export controls
We may restrict, suspend, refuse, or discontinue access in any location or for any person or entity where we consider it necessary or appropriate because of sanctions, export controls, applicable law, regulatory requirements, payment or provider restrictions, security, fraud, abuse, compliance risk, or other legitimate operational or legal reasons. Availability of a website interface in a location does not mean we have determined that every aspect of the Services is lawful there.
By using the Platform, you represent that you are not located in, and are not acting for, a comprehensively sanctioned region or otherwise prohibited party under applicable sanctions programs, and that you will not falsify or conceal your location, or use tools such as VPNs or proxies, for the purpose of circumventing geographic or sanctions restrictions. We do not promise that we detect every prohibited user or transaction.
Software and technical data available through the Platform may be subject to Canadian, U.S., and other export-control laws. You may not use the Platform or transfer technical data in violation of those laws.
13. Paid plans, payments, and promotions
13.1 Plans and auto-renewal
Paid plans, one-time products, and related benefits (including any paid visibility, promotion, advertising, promotional allocations, or credits when offered) are described at checkout and in the product interface. Recurring subscriptions renew automatically at the then-current price for the selected interval until you cancel or we terminate the subscription in accordance with these Terms. Material commercial terms (plan, price, currency, billing interval, and taxes where shown) are presented before you finalize payment.
13.2 Cancellation
You may cancel a recurring subscription through the account billing tools we provide (or other cancellation methods we designate). Cancellation generally stops future renewal and leaves the current paid period active until its scheduled end. Cancellation does not, by itself, create a right to a refund or prorated credit for unused time, including unused months of an annual term, except where required by applicable law.
13.3 Failed and disputed payments
You must keep payment information current. If a payment fails, is overdue, reversed, charged back, disputed, or otherwise unpaid, we may suspend or restrict associated paid services, subscriptions, credits, promotions, or account features while the payment issue remains unresolved, to the extent permitted by law. Fraudulent, abusive, deceptive, or repeated bad-faith payment disputes may result in suspension or termination. This does not limit your non-waivable rights to dispute charges under applicable law.
13.4 Refunds
Payments are non-refundable and non-creditable except where required by applicable law. Without limiting the foregoing, and except where law requires otherwise, we do not provide contractual refunds or credits for unused subscription time; partial billing periods; unused months of an annual term; unused promotional allocations, credits, quotas, or benefits; dissatisfaction with results; failure to obtain leads, responses, impressions, customers, jobs, RFQs, sales, engagement, or other outcomes; your failure to use features; ordinary cancellation; or suspension or termination caused by your breach.
Promotional allocations, credits, quotas, and similar benefits (when offered) are not cash, have no cash redemption value, and are non-refundable and non-transferable except where applicable law requires otherwise.
Gridpeers may, in its discretion, issue a refund, credit, adjustment, or other accommodation in a particular case (including through administrative tools). Doing so does not create an obligation to provide the same or similar accommodation in any other case.
13.5 Payment processors and taxes
Payments may be processed by third-party payment processors and are subject to their applicable terms and payment-method rules. We may change available payment methods. Where a processor acts as merchant of record or is otherwise required to collect tax, that processor may collect and remit applicable sales tax, VAT, GST, or similar taxes. You are responsible for taxes that applicable law places on you. Prices, taxes (where shown), billing interval, and currency are presented at checkout. We do not promise a particular tax treatment.
13.6 Paid visibility and promotions
When we offer paid visibility, promotion, advertising, promotional allocations, credits, or similar products, quantities, eligibility, duration, placement, formats, pricing, and availability are defined by the applicable plan, product, or interface. Payment for promotion or enhanced visibility does not guarantee any particular ranking, number of impressions, clicks, views, responses, leads, customers, RFQs, contracts, employment, revenue, or other outcome, and does not mean Gridpeers has verified, endorsed, or approved the promoted User Content. Promoted content remains the posting user's responsibility under these Terms. We retain reasonable discretion over placement, eligibility, presentation, enforcement, and availability of promotional features.
14. Third-party services and links
The Platform may rely on third-party infrastructure, hosting, storage, communications, analytics, AI, payment, and other service providers, which we may change over time. Provider-specific privacy details appear in the Privacy Policy or other privacy documentation where appropriate. The Platform may also contain links to third-party websites or services. To the maximum extent permitted by law, we are not responsible for third-party sites or services we do not control.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, PERFECT SECURITY, PERMANENT STORAGE OR PRESERVATION OF DATA OR CONTENT, ACCURACY OF USER CONTENT, THIRD-PARTY INFORMATION, OR AI OUTPUTS, ACHIEVEMENT OF ANY COMMERCIAL OR PROFESSIONAL OUTCOME, OR COMPATIBILITY WITH EVERY DEVICE OR SYSTEM.
You should retain your own copies of important professional information. To the maximum extent permitted by law, we are not liable for data loss. Nothing in these Terms excludes warranties or conditions that applicable law does not allow us to exclude.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRIDPEERS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, THE TOTAL AGGREGATE LIABILITY OF GRIDPEERS, GRIDPEERS INC., AND THEIR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, UNDER ANY THEORY OF LIABILITY, SHALL NOT EXCEED THE GREATER OF: (A) CAD $100; OR (B) THE FEES ACTUALLY PAID OR PAYABLE BY YOU TO GRIDPEERS FOR THE SPECIFIC PAID SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE FIRST EVENT GIVING RISE TO THE CLAIM.
For a prepaid subscription covering a period longer than one month, including an annual subscription, fees for purposes of subsection (B) will be allocated on a pro rata basis over the applicable subscription period.
The foregoing amount is an aggregate liability ceiling for all claims arising out of or relating to the same or related events and does not create or establish any entitlement to a refund, credit, reimbursement, damages, or other payment. The existence of more than one claim will not enlarge the applicable liability cap.
Nothing in these Terms excludes or limits any liability, right, or remedy that cannot lawfully be excluded or limited under applicable law. The limitations in this section apply to Gridpeers' liability to you and do not automatically limit your indemnification obligations under these Terms.
17. Indemnification
To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless Gridpeers and its directors, officers, employees, contractors, affiliates, and service providers from and against third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your infringement or violation of intellectual-property, privacy, or other rights; (c) your unlawful activity or misuse of the Platform; (d) your breach of these Terms; (e) your fraud or misrepresentation; or (f) your dealings with other users or third parties. If you use the Platform for a company, institution, or other business, this indemnity is intended as a commercial indemnity to the fullest extent permitted by law.
18. Changes to these Terms
Gridpeers may modify these Terms from time to time. Changes apply prospectively from the effective date stated in the updated Terms. Changes are not intended to apply retroactively to disputes or events that arose before the new Terms became effective where doing so would be legally problematic.
Gridpeers may provide notice of changes through the Services, by email, or through other reasonable means, as appropriate and subject to applicable law. We do not promise individual email notice of every revision unless required by law.
To the extent permitted by applicable law, continued access to or use of the Services after updated Terms become effective constitutes acceptance of the updated Terms. Gridpeers may require affirmative acceptance of updated Terms before continued access to or use of some or all of the Services when Gridpeers considers it appropriate. Where applicable law requires additional notice, affirmative consent, cancellation rights, or another procedure in connection with a particular change, Gridpeers will comply with those requirements.
If you do not agree to updated Terms, you may discontinue use of the affected Services and cancel applicable subscriptions, subject to any rights required by applicable law. Disagreement with updated Terms does not, by itself, create a refund entitlement except where required by law.
19. Governing law and disputes
These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles, subject to any mandatory rights under applicable law that cannot legally be excluded.
Subject to those mandatory rights, you and Gridpeers agree that the courts of competent jurisdiction in Nova Scotia will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Platform. Before commencing formal proceedings, you agree to attempt to resolve the dispute in good faith by sending a written notice describing the issue to legal@gridpeers.com and allowing a reasonable period for response, except where urgent injunctive relief is reasonably necessary or where applicable law does not permit this step.
20. General
Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control, including internet or network outages, cloud or provider failures, cyberattacks, government action, natural disasters, labour disruptions, utility failures, war or civil disturbance, and comparable events. This does not excuse payment or refund obligations that applicable law says cannot be avoided.
Assignment. You may not assign these Terms or your account without our prior consent. We may assign or transfer these Terms and related rights in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or similar transaction, subject to applicable law.
Severability. If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
Waiver. Failure or delay in enforcing a provision is not a waiver. Any waiver must be in writing to be effective.
Entire agreement. These Terms, together with any additional terms presented for a specific feature or purchase, constitute the entire agreement between you and Gridpeers regarding the Platform and supersede prior understandings on the same subject. Our Privacy Policy describes how we process personal information and should be read together with these Terms, but it is not intended to create additional contractual rights or warranties beyond applicable law. Mandatory privacy rights remain unaffected. Headings are for convenience only.
Survival. Provisions that by their nature should survive termination survive, including ownership and licence provisions to the extent needed for content already processed, payment obligations, disclaimers, limitations of liability, indemnification, governing law and disputes, and this General section.
